These Terms & Conditions ("Terms") govern access to and use of the website and platform operated by Innocrazy Tech Services Private Limited ("Innocrazy," "we," "us," or "our"), including our WhatsApp Business Platform and related services (together, the "Services"). By accessing our website or using our Services, you agree to be bound by these Terms.

1. About Innocrazy

Innocrazy Tech Services Private Limited is a company registered in India, with its registered office at S-193, near Govt. School, School Block, Block S1, Shakarpur, New Delhi, Delhi – 110092, India (CIN: U72200DL2021PTC390518). We operate as an independent Meta WhatsApp Tech Provider, enabling businesses ("Clients") to communicate with their customers over WhatsApp.

2. Nature of Our Services

Our Services allow Clients to send and receive WhatsApp messages, manage message templates, and run campaigns, subject to the policies and technical requirements of Meta Platforms, Inc. Our Services are provided to businesses (B2B) for use in communicating with their own customers; they are not a consumer messaging app.

3. Eligibility and Client Accounts

  • Our Services are intended for use by businesses and their authorised personnel, not by individual consumers directly.
  • A Client is responsible for the accuracy of information it provides, for maintaining the confidentiality of its account credentials, and for all activity conducted through its account.
  • Clients must ensure they have a lawful basis and appropriate consent to message their own customers via WhatsApp, in accordance with applicable law and Meta's WhatsApp Business Policy.

4. Acceptable Use

You agree not to use the Services to:

  • Send unsolicited, unlawful, misleading, or fraudulent messages;
  • Violate any applicable law, regulation, or third-party right, including data protection and telecommunications laws;
  • Violate Meta's WhatsApp Business Policy or Platform Terms; or
  • Interfere with or attempt to gain unauthorised access to our systems or another Client's data.

5. Third-Party Platforms

Our Services operate on and interoperate with the WhatsApp Business Platform provided by Meta Platforms, Inc. Use of this third-party platform is also subject to Meta's own terms and policies, and Innocrazy is not responsible for its availability, performance, or changes to its terms.

6. Intellectual Property

All content, trademarks, and technology comprising our website and Services, other than Client-provided content, are the property of Innocrazy or its licensors. Nothing in these Terms grants any right to use Innocrazy's trademarks or branding without prior written consent.

7. Fees and Payment

Fees, if any, for our Services are set out in the applicable commercial agreement / order form between Innocrazy and the Client. WhatsApp messaging costs charged directly by Meta are separate from, and in addition to, any fees payable to Innocrazy, unless otherwise agreed.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. While we take reasonable steps to maintain the security, reliability, and availability of our Services, we do not guarantee uninterrupted or error-free operation, including where this results from the availability or changes to Meta's WhatsApp Business Platform, which is outside our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Innocrazy shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the use of, or inability to use, the Services.

10. Termination

We may suspend or terminate access to the Services in accordance with the terms of the applicable Client agreement, or where use of the Services violates these Terms, applicable law, or Meta's policies.

11. Governing Law

These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above.
